Master Services Agreement
Last Updated: December 28, 2024
This Master Services Agreement ("Agreement") governs access to and use of the high-performance computing infrastructure provided by Nevskiy Intelligence Systems.CRITICAL NOTICE: This infrastructure allows for the execution of arbitrary code on bare-metal hardware. You assume full liability for all workloads deployed.
1. Definitions
- "Compute Node" refers to any GPU-accelerated server instance (e.g., H100, B200 tiers) leased to the Customer.
- "Sovereign Grid" refers to the distributed network of decentralized compute endpoints.
- "High-Risk Workload" refers to any computational task involving unmoderated generative models, cryptographic research, or offensive security simulation.
2. Service Licensing & Acceptable Use
2.1 Grant of License: Nevskiy grants Customer a non-exclusive, non-transferable right to access the Physical Infrastructure for the Term, subject to payment of Fees.
2.2 Permitted Use: Unlike restrictive hyperscalers, Nevskiy maintains a policy of neutrality regarding compute workloads, provided they do not violate the laws of the host jurisdiction. Permitted uses explicitly include:
- Adult content generation and synthetic media rendering (18+).
- Real-money gaming, algorithmic betting, and gambling platforms (subject to local licensing).
- Offensive security research, malware analysis, and penetration testing.
- Training of uncensored Large Language Models (LLMs).
2.3 Prohibited Activities: Customer shall not use the Services to:
- Generate, distribute, or process Child Sexual Abuse Material (CSAM). Detection results in immediate termination and reporting to relevant authorities.
- Conduct Denial of Service (DoS) attacks or unauthorized intrusion attempts against third-party networks.
- Mining of cryptocurrency on "Subsidized" or "Research" tier instances without prior authorization.
3. Liability & Indemnification
3.1 Infrastructure Provider Status: The Parties agree that Nevskiy acts solely as an infrastructure provider. Nevskiy exercises no editorial control over Customer's models and has no knowledge of the specific content generated.
3.2 Indemnity: Customer agrees to defend, indemnify, and hold harmless Nevskiy, its officers, directors, and employees from any claims, damages, or liabilities arising out of Customer's use of the Services, including but not limited to the output of any AI models deployed.
4. Termination & Suspension
4.1 Suspension for Cause: We reserve the right to immediately suspend access to any Node identified as the source of an attack or illegal content.
4.2 Termination Convenience: Either party may terminate this Agreement with thirty (30) days written notice, subject to any fixed-term commitments (e.g., Reserved Instances).
